IN NO EVENT SHALL SMART CARD ADVISOR'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU HAVE PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you in their entirety. To the extent that these limitations are prohibited by law, they shall be limited to the minimum extent required by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Smart Card Advisor, its officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

10. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any conflict of law principles that would require the application of the laws of any other jurisdiction.

You agree that any legal action or proceeding between you and Smart Card Advisor arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California. You consent to personal jurisdiction in those courts and waive any objection to the laying of venue of such proceedings in San Francisco County, California.

Informal Resolution

Before filing any legal claim, you agree to contact Smart Card Advisor at legal@smartcardadvisor.com and attempt to resolve the dispute informally. We will make a good-faith effort to resolve any dispute within 30 days of receiving your notice. If the dispute cannot be resolved informally within 30 days, either party may pursue formal legal proceedings.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, YOU WAIVE ANY RIGHT TO A JURY TRIAL.

11. Changes to These Terms

We reserve the right to revise and update these Terms at any time in our sole discretion. All changes are effective immediately when posted, and apply to all access to and use of the Site thereafter. We will indicate the date of the most recent revision at the top of this page.
